摘 要
公司制企业的治理问题与实践，己经日益成为国家经济政策的兴趣点和一个世界性的研究课题。本文结合实例，研究分析了我国公司治理问题及其解决途径。从论述一般的企业治理问题入手，分析了公司治理问题产生的原因、背景以及公司治理问题的重要性，比较分析了公司治理模式以及我国公司治理存在的问题，并以衡丰公司为例，探讨了如何完善公司治理结构，在所有者、经营者之间构造有效的制衡，以期实现有效的公司治理。
全文共分四章来论述。第一章主要介绍了公司治理的概念和职能，公司治理问题提出的背景与原因，以及建立良好的公司治理制度的重要性。第二章介绍了公司治理的几种主要理论和主要治理模式，并介绍了董事会的类型与职责。第三章分析了我国公司治理的现状，探讨了我国目前公司治理中存在的代表性问题。最后一章通过对国家股和法人股构成的企业——河北衡丰公司进行了典型性研究。并针对该类企业公司治理存在的不完善之处，提出了合理的改进措施，近而对我国该类企业建立完善有效的公司治理提供了一定的借鉴和参考。

Abstract
This paper researches about some problems and solutions of corporate governance in China through and analyzing a typical model of listed corporation. The paper analyses the reasons, background and the importance of the problem of corporate governance, reviews the models of corporate governance and some problems of corporate governance in China, and give an example of Hengfeng Co.,LTD, discusses how to consummate corporate governance and balance between ownership and management and to get effective governance.
This paper includes four chapters. Chapter one mainly introduces the concept and function of corporate governance, the background and reason on which the problem of corporate governance was brought forward, and the importance of building good corporate governance system. Chapter two introduces some leading theories and modes of corporate governance, and introduces the style and responsibility of directorate.
