摘 要
随着改革开放的深入，特别是中国加入WTO后全球经济一体化的冲击，国有企业越来越感受到来自外界的竞争和危机，为了在激烈的市场竞争中立于不败之地，迫使国有企业必须从自身内部入手，深刻挖掘企业在体制和管理上弊端，而管理重组在国有企业改革及使命和目标的实现过程中的作用和意义越来越突出，探究国有企业管理重组的本质及其相关问题，是解决国有企业管理现状和困境的有效途径。因此，紧密结合国有企业改革的实际，分析国有企业的渐进式改革与演化，同时借鉴先进的现代公司制度，为国有企业制定出符合企业自身发展的改革方案，是当前国有企业改革中的核心重点问题。
在这种背景下，本文尝试从经济分析的角度，通过对国有企业改革历史进程进行回顾和现状分析，并借鉴国际上其他国家国有企业改革的经验，寻找国有企业改革的突破口，深入探讨国有资产的产权机制、国有资产的管理体制以及外部竞争环境等一系列内容，结合中石化河南石油分公司的具体情况，对国有企业改革的路径进行实证分析，特别是对企业的组织结构设置及职能转变，以及为适应市场发展进行的经营和管理创新活动进行了深入的研究。

Abstract
Along with the economic reform and open policy, especially for our joins the WTO, the impacts are inevitably brought to the state-owned enterprise. For taking advantage of the marketing the state-owned enterprise must reform and adjust the policy, reformation of the state-owned enterprise or innovation of state-owned enterprise projects increasing the important role and realistic significance on the reformation and implement of the mission and aims of state-owned enterprise. To analyses the problems that associated with the reformation and innovation of state-owned enterprise become the method to solve the situation of state-owned enterprise in these years. Linked with the fact of reformation of the state-owned enterprise, gradual reformation and evolution of the state-owned enterprise and evolution and routine of the state-owned enterprise are analyzed, it’s important to present a series of reformation projects using modern ent无忧论文 【http://www.uklunwen.com】erprise theory.
This essay tried to analysis the basis of ascending the history of SOEs reform and the present conditions of the state-owned enterprises. find out the breakthrough of the reform ,and discussing the path of the reform of the SOEs. Then give out the suggestion that we should adapt the property mechanism, the scheme of the state capital and the market environment. Finally the research about establishment and function of the organization are analyzed.
